Terms of Service

These terms are between you — the business that connects a Xero organisation — and Pieter Le Roux, a sole trader resident in New Zealand, trading as Supplier Check. By connecting Xero you accept them. We record the date and version you accepted.

1. What the service does

Supplier Check does two things, and nothing else:

  1. It monitors how much of each supplier’s credit limit your business is using, based on authorised supplier bills and available supplier credits recorded in Xero.
  2. It checks the ABN recorded in Xero against the Australian Business Register and monitors its registration status.

2. What the service is not

Supplier Check is not a verification service. An active ABN does not prove that the person emailing you is that business, that an invoice is genuine, or that a bank account belongs to anyone in particular.

Specifically, Supplier Check is not, and must not be relied on as:

  • identity verification, supplier verification, or fraud prevention;
  • a credit check, a credit rating, or an assessment of a supplier’s creditworthiness;
  • credit advice, financial advice, or tax advice;
  • a supplier statement reconciliation, or a substitute for your own controls;
  • accounts payable automation, procurement management, or supplier onboarding.

Decisions about whether to trade with a supplier, extend credit, or pay an invoice are yours. We surface numbers from your own accounting system and a public register; we do not tell you what they mean for your business.

3. Accuracy, and the limits of it

Credit figures are calculated from what Xero returns to us. If a bill has not been entered or authorised in Xero, it is not in the figure. We count authorised supplier bills and available supplier credits only — not drafts, not bills awaiting approval, and not purchase orders. Xero is the record of truth.

Registry information comes from the Australian Business Register and is provided to you as we receive it. The ABR itself gives no guarantee that its data is accurate, complete or current, and neither can we. Supplier Check is not affiliated with, endorsed by, or approved by the Commonwealth of Australia, the Australian Taxation Office or the Australian Business Register. We are an independent developer of an application that connects to Xero, and are not Xero.

4. Your Xero connection

We request read-only access to the parts of Xero listed in our Privacy Policy. Supplier Check cannot create, edit, delete or pay anything in Xero. You may disconnect at any time, from within Supplier Check or from Xero itself. Disconnecting stops the service working; it does not, by itself, cancel your subscription.

One person owns the Supplier Check account for a Xero organisation. Others can receive alerts, but they are not users and have no access.

5. Availability

We provide the service on a best-effort basis and do not offer an uptime guarantee or a service level agreement. Supplier Check is a monitoring tool, not a system of record: if it is unavailable for a period, nothing in your accounting is affected, and the service reconciles against Xero when it returns. Do not build a process that depends on us being up at a particular moment.

We may change or discontinue features. If we discontinue the service entirely we will give you at least 30 days’ notice and refund any period you have paid for and not received.

6. Fees, billing and cancellation

Fees are 29 AUD per connected Xero organisation per month, charged in advance through Stripe. Our Refund and Cancellation Policy forms part of these terms and sets out the 60-day money-back guarantee, how to cancel, and what happens when you do.

If we change our prices we will give you at least 30 days’ notice. The new price applies from your next billing period, and you can cancel before it takes effect.

7. Acceptable use

You agree not to:

  • connect a Xero organisation you are not authorised to connect, or use the service to access data you have no right to see;
  • redistribute, resell or republish Australian Business Register information obtained through the service other than as a normal incident of running your own business;
  • attempt to circumvent per-organisation pricing, rate limits, or access controls;
  • use the service to build a competing product.

8. Your data

Your data stays yours. We hold a working copy in order to run the service, described in the Privacy Policy, and we delete it immediately when you ask us to.

9. Liability

Nothing in these terms excludes, restricts or modifies any guarantee, right or remedy that cannot lawfully be excluded — including under the Australian Consumer Law or the New Zealand Consumer Guarantees Act where they apply.

Subject to that: we are not liable for indirect or consequential loss, for loss of profit, or for a trading decision you made with our figures in front of you. Our total liability to you for any claim is limited to the fees you paid us in the twelve months before the claim arose.

10. Changes to these terms

We may update these terms. For a material change we will give you at least 30 days’ notice by email and publish the new version here with a new version number. If you do not accept it, cancel before it takes effect and we will refund any unused period.

11. Suspension and termination

You can cancel at any time. We may suspend or terminate your account if payment fails and is not resolved, if you breach clause 7, or if we are required to. Except in cases of breach, we will refund any period you have paid for and not received.

12. Assignment

We may transfer these terms, and our rights and obligations under them, to a company we form or to a purchaser of the business, on notice to you. Your rights are unaffected. You may not transfer your account without our consent, which we will not unreasonably withhold.

13. Governing law

These terms are governed by the laws of New Zealand, and you and we submit to the non-exclusive jurisdiction of the New Zealand courts. This does not deprive you of the protection of any mandatory law of the place you do business, including Australian consumer law, and it does not prevent either of us bringing a claim in Australia where the law requires it.
